Subscription Terms

1. Scope and Agreement

Effective Date: October 21, 2026

These Subscription Terms govern JobLens Free and paid Workspace tiers, trials, recurring billing, licensed Seat add-ons, usage limits, and AI credits. They supplement our Terms of Service; the Privacy Policy explains how billing and other personal information are handled.

By selecting or purchasing a subscription, confirming a chargeable action, or administering a Workspace subscription after these terms are presented to you, you agree to the applicable terms for yourself and the customer you are authorized to represent. Specific prices, billing intervals, trial details, and purchase disclosures presented for your order form part of that order.

If these Subscription Terms conflict with the Terms of Service on a billing or subscription matter, these Subscription Terms control, subject to any separately signed agreement that expressly provides otherwise. Mandatory consumer rights are preserved.

2. Workspace Subscriptions and Billing Authority

• Subscriptions and their benefits belong to an individual Workspace, rather than following a user across every Workspace or Project. Each Workspace has its own tier, Seat demand, usage limits, and AI credit pool.

• Owners may initiate subscription or Seat Checkout, open the Billing Portal, change a tier or billing interval, cancel a scheduled plan change, and perform eligible recovery actions. Owners and Admins may view billing, preview changes, and confirm additional Seat charges associated with Workspace invitations.

• You represent that anyone you authorize to perform those actions has authority to commit the Workspace customer to the resulting charges. Restrict administrator access appropriately and keep billing and contact information current.

• The current tiers are Free, Solo, Team, and Business. Available benefits and prices are those presented in the current catalog and applicable purchase disclosures. Feature availability can also depend on role, Project settings, product access, and technical eligibility.

3. Prices, Payments, and Taxes

• Paid subscriptions consist of a recurring tier charge and, where applicable, recurring licensed Seat add-on charges. Monthly and annual billing are available where shown. Seat add-ons use the subscription's billing interval; the checkout currency and quoted interval govern your purchase.

• Stripe processes payments and provides hosted Checkout and the Billing Portal. You authorize charges to the payment method you provide for amounts expressly agreed to in your purchase or subsequent authorized change, including applicable recurring Seat charges and disclosed taxes.

• Amounts due now, prorations, trial effects, and future recurring charges are shown in the applicable checkout, preview, or charge-confirmation flow. Previews can expire or change when timing, tier, Seat demand, or billing information changes; review the current confirmation before authorizing a charge.

• Taxes and mandatory charges are disclosed as required by law. You are responsible for applicable taxes except taxes imposed on our net income. Your bank or payment provider may separately charge conversion or transaction fees outside our control.

• Keep a valid payment method and promptly review invoices and billing notices. Contact us about a suspected billing error as soon as reasonably possible. This request does not shorten statutory dispute periods or restrict lawful payment-provider dispute rights.

4. Automatic Renewal

• PAID SUBSCRIPTIONS AUTOMATICALLY RENEW FOR SUCCESSIVE PERIODS OF THE BILLING INTERVAL YOU SELECT UNLESS YOU CANCEL BEFORE THE NEXT RENEWAL. EACH RENEWAL CHARGES THE APPLICABLE TIER AND RENEWING SEAT QUANTITY, PLUS DISCLOSED TAXES, TO YOUR AUTHORIZED PAYMENT METHOD.

• Your initial purchase disclosure identifies the recurring amount or how it is determined, billing frequency, and any trial. Subsequent authorized Seat or tier changes and renewal-time adjustments can change the recurring total under these terms.

• We will provide purchase acknowledgments and legally required renewal, trial-ending, and material-change notices through the applicable billing or service communications. Preserve those notices and monitor the contact address associated with the purchase.

• A monthly AI credit period is separate from the subscription billing period. An annual subscription does not create a single annual AI credit pool.

5. Free Tiers, Trials, and Promotions

• The Free tier has its own feature and usage limits and does not support paid Seat add-ons. A Free Workspace does not incur a recurring subscription charge merely because a billing customer record exists.

• Trials are offered only where shown, with the eligibility, length, included tier, and post-trial charges disclosed for that offer. Prior paid Checkout history can make a Workspace ineligible for another trial. Trials and promotions are not a promise of repeat or permanent eligibility.

• UNLESS YOU CANCEL BEFORE THE DISCLOSED TRIAL ENDS, AN ELIGIBLE TRIAL CONVERTS TO A PAID SUBSCRIPTION AND THE DISCLOSED RECURRING TIER AND SEAT CHARGES BEGIN. Use the same cancellation controls described below to prevent conversion.

• Supported tier upgrades or Seat increases during a trial preserve its original end date and may have no immediate charge while increasing the first paid invoice. Review the trial adjustment and future charges before confirming. A missing valid payment method can cause a trial to end without paid access.

6. Seats, Invitations, and Reusable Capacity

• Included Seats cover active Workspace Owners, Admins, and Members. Pending Workspace invitations also reserve Seats, even before acceptance. Accepting an invitation replaces its reservation with an active membership and does not require a second Seat for the same reservation.

• If a proposed invitation exceeds current paid capacity, the Services require an authorized Owner or Admin to confirm the applicable Seat charge before the invitation is created and sent. Confirmation can include an immediate prorated charge and an increased recurring Seat quantity. Failed payment does not create the invitation.

• An Owner may also purchase a reusable Seat through Seat Checkout when available. Although Checkout may collect an immediate prorated payment or payment setup, the purchased Seat is an add-on to the existing recurring subscription rather than a permanent one-time license.

• Removing a Member or canceling, rejecting, or otherwise releasing an invitation reduces Seat demand but does not immediately refund or reduce the licensed quantity for the current billing period. Paid vacancies remain reusable until renewal, and new invitations use available capacity first.

• The renewal Seat quantity is recalculated from retained memberships and pending Workspace invitations, less the target tier's included Seats. An unused Seat purchased in advance may therefore stop renewing if it is not needed at the renewal calculation. Review retained invitations and demand before renewal.

• Project Collaborators and Clients do not consume Workspace Seats solely because of that Project role. Collaborators are subject to a separate allowance; assigning a person as a Workspace Member can change how that person is counted.

7. Project, Collaborator, and Feature Limits

• Tier limits can cover standing Projects, Collaborators, AI credits, Recaps, beta features, and other disclosed benefits. Current allowances appear in the catalog, billing information, or relevant capability controls; these terms do not promise a fixed allowance for every tier forever.

• Non-deleted Draft, Active, and On Hold Projects count toward Active Project usage. Completed and Archived Projects release their slots and remain readable; ordinary content changes require reactivation. Completion and archival do not delete files or reset storage usage.

• Collaborator demand includes active Project Collaborators and pending Collaborator invitations, deduplicated across the Workspace by known identity or normalized email. Client memberships and invitations do not consume that allowance. Workspace invitations reserve Seats under the separate rules above.

• A subscription benefit does not override access permissions or Project settings. Automatic Recaps additionally require an eligible tier, enabled Project settings, eligible activity, and applicable scheduling and evidence conditions.

8. Upgrades, Downgrades, and Billing-Interval Changes

• A supported tier upgrade within the same billing interval takes effect after the billing provider successfully applies it and can generate an immediate prorated invoice. Associated tier and Seat changes are handled together; an unsuccessful required payment does not grant the proposed upgrade.

• Tier downgrades, monthly-to-annual or annual-to-monthly changes, and combined tier and interval changes are scheduled for the subscription's actual renewal boundary. They do not normally refund or replace the current paid period.

• When a lower tier is scheduled, its lower Project and Collaborator creation ceilings apply immediately to new Projects and invitations. Existing retained resources do not become extra paid capacity; you may need to archive Projects, remove access, or cancel invitations to meet the target tier's prerequisites.

• Renewal changes are revalidated before they take effect. If a scheduled downgrade cannot be validated or its prerequisites are not met, it can be canceled and the current tier can remain in place and renew at its applicable price, unless you separately cancel renewal. Scheduling a downgrade is not a substitute for canceling the subscription.

• An authorized Owner may replace or cancel an eligible pending plan change before it takes effect. Canceling a scheduled tier or interval change leaves the underlying subscription and its recurring renewal in place.

9. Workspace AI Credits

• AI credits are a shared Workspace allowance for one UTC calendar month. The period changes at the start of each UTC month, regardless of your local time zone or subscription invoice date. Unused credits do not roll over to later months or transfer to another Workspace.

• User-visible AI actions have fixed credit costs that can differ by action. Costs are not calculated from the model's token usage. We reserve the applicable credits before processing, consume them when the action successfully completes, and release the reservation if the action fails or is abandoned under the applicable processing rules. Multiple provider calls for one action do not create duplicate action charges.

• The monthly allowance increases if a higher allowance becomes available during that month. A later downgrade or eligible Continue on Free action does not claw back that month's previously granted allowance; access restrictions can still prevent use. The next UTC month uses the then-applicable tier allowance.

• User-triggered actions require enough available credits for their full cost. Eligible automatic weekly and monthly Recaps can consume credits even after the pool is exhausted, leaving a negative balance for that month and limiting further manual actions. That negative balance does not itself create a monetary overage charge.

• Credits have no cash value, are not a deposit or currency, and cannot be redeemed for cash, resold, or refunded independently of rights required by law. Credit costs and allowances may change prospectively with applicable notice. Successful processing consumes credits even if you later choose not to use the result.

10. Cancellation and Refunds

• A Workspace Owner can cancel recurring renewal online by opening the Workspace billing controls, launching the Stripe Billing Portal, selecting the subscription, and confirming cancellation. The Portal also supports available payment-method, invoice, billing-address, and tax-information controls. Check the displayed cancellation confirmation and access-end date.

• If you cannot access or complete cancellation, contact [email protected] promptly with the Workspace and billing contact details so we can verify authority and help. Do not send full card details or passwords. You do not need to give a cancellation reason.

• Cancellation normally takes effect at the end of the current paid period, with paid access continuing until that boundary. Cancel before the next renewal to stop the next recurring charge, or before a trial ends to avoid its paid conversion. Mandatory legal cancellation rights take precedence.

• Deleting an Account or Project, uninstalling the app, leaving the Workspace, removing Members, or canceling a pending plan change does not cancel recurring billing. Cancel each Workspace subscription that you intend to end.

• Except where required by law, expressly included in an applicable offer, or approved by us, fees already paid are non-refundable, and we do not provide prorated cash refunds or credits for partial periods, unused Seats, unused AI credits, or unused features. This does not limit remedies for unauthorized or erroneous charges, service failures, or other nonwaivable rights.

11. Payment Failures and Subscription Suspension

• A first unsuccessful Checkout does not activate paid benefits or by itself remove an existing Free Workspace's access. Incomplete, expired, unpaid, paused, or unverified payment states do not guarantee paid access.

• A previously active paid subscription can retain access while Stripe treats it as past due and retries collection. This is not a guaranteed grace period or waiver of charges. If paid access ends, the Workspace can enter Subscription Suspended status rather than automatically becoming an ordinary Free Workspace.

• During subscription suspension, only the Workspace's designated personal Owner has limited recovery access to retained records and supported billing or cleanup actions. Other Members, Collaborators, and Clients can lose access, notifications, invitations, and background feature delivery. Retained records are not thereby deleted.

• Restoring paid access requires a valid paid subscription with enough included and additional Seats for retained Seat demand, including pending invitations. Restoring a lower quantity without reducing demand does not guarantee that the Workspace will reopen.

• The designated personal Owner may explicitly Continue on Free only after meeting Free prerequisites, including being the sole active Workspace Member, clearing pending Workspace invitations, and bringing standing Project and Collaborator usage within Free limits. A canceled subscription does not silently perform these steps for you.

12. Price and Commercial Changes

• We may change prices, Seat rates, tier benefits, credit costs, or available offers prospectively. We will disclose the relevant changes and effective date and provide advance notice, cancellation information, or renewed consent when required by applicable law.

• A price increase for an existing recurring subscription takes effect no earlier than a subsequent renewal after the required notice. You can cancel before it takes effect. Changes you separately authorize, such as an upgrade or an additional Seat, can affect the current period as disclosed in that confirmation.

• If a material reduction prevents us from providing a prepaid service as agreed, applicable contract and consumer remedies continue to apply. These terms do not authorize undisclosed charges, retroactive price increases, or avoidance of legally required refunds.

13. California Protections, Notices, and Contact

• California law and applicable United States federal law govern these Subscription Terms, subject to the mandatory consumer protections and dispute provisions described in the Terms of Service. Nothing here waives applicable automatic-renewal, cancellation, privacy, or other statutory rights.

• We will provide material subscription terms, the applicable recurring-charge authorization, purchase acknowledgment, and cancellation information as required by law. These terms do not replace disclosures and affirmative consent required in the purchase flow. Legally required trial, renewal, and change notices apply regardless of any general amendment language.

• We may update these Subscription Terms with an updated effective date and required notice. Material billing changes require the disclosures or consent applicable to that change; publication alone does not authorize a new undisclosed charge.

• Contact JobLens at [email protected] for subscription questions, billing disputes, or cancellation assistance.
